Terms of Service
These terms govern the use of SAKURA EXCHANGE SNS, the skill marketplace, posts, requests, deposits, SGP Points, PayPal collection, settlement, and related functions.

Article 1. Scope
These Terms apply to SAKURA EXCHANGE SNS, the SAKURA EXCHANGE skill marketplace, posts, profiles, SNS connections, skill listings, job requests, offers, contract management, deposits, refunds, settlement, SGP Points, and all related functions collectively referred to as the “Service”.
Article 2. Contracting entities and role allocation
SAKURA EXCHANGE GUAM, INC. is the provider of wallet functions, SGP Points, customer balance management, PayPal collection, deposits, refunds, merchant and service-provider settlement, and related financial or payment services.
SAKURA EXCHANGE PTE LTD provides business development, technology, administration, platform operation assistance, and other non-financial support services only. It does not issue wallets or stored value, hold customer funds, provide remittance, merchant acquiring, e-money issuance, payment account services, or operate customer balances.
Japan-facing customer support and local administrative assistance may be provided by ITO-Japan Co., Ltd. Unless expressly stated in the applicable service terms, ITO-Japan Co., Ltd. does not hold customer funds or provide regulated payment services.
Article 3. Regulatory disclosure
SAKURA EXCHANGE GUAM, INC. is registered as a Money Services Business (MSB) with FinCEN in the United States. MSB registration does not constitute a banking license, deposit-taking license, securities license, or Monetary Authority of Singapore (MAS) license.
Service availability, functions, limits, review procedures, and supported jurisdictions may vary depending on country or region, user category, partner approval, KYC/AML review, applicable laws, and partner terms. Singapore residents or Singapore-related users may be subject to additional restrictions or unavailability of certain functions.
Article 4. Mastercard-related functions
Mastercard-related card functions may, where applicable, be provided using the service infrastructure of MatchMove Pay Pte. Ltd., a Major Payment Institution regulated by the Monetary Authority of Singapore. Use of MatchMove infrastructure does not mean that all wallet, PayPal collection, merchant settlement, or service-provider settlement functions provided by SAKURA EXCHANGE GUAM, INC. are provided under a MAS license.
Article 5. Accounts, identity verification, and KYC/AML
Users must provide accurate and current registration information and are responsible for managing their own accounts. We may request identity verification, address verification, phone verification, email verification, confirmation of transaction purpose, or additional documentation for legal compliance, partner requirements, anti-fraud, AML/CFT, sanctions screening, and risk management.
Deposits, wallet balances, SGP Points, PayPal collection, refunds, settlement, card-related functions, and other functions designated by us may be limited to KYC-verified users or otherwise approved users.
Article 6. Posts, profiles, and SNS connections
Users must post lawful and accurate information regarding posts, images, profiles, skills, achievements, and requests. Depending on visibility settings, posts, profiles, skills, and requests may be viewable by other users or by the public.
If a user enables external SNS connections such as X/Twitter, post content or links to post pages may be shared to external SNS based on that user’s authorization. External SNS services are governed by the terms, API policies, and display rules of each SNS provider.
Article 7. Skill listings, job requests, and offers
Users may list only skills, services, and requests that they can actually provide or require. Illegal work, false representations, infringement of third-party rights, dangerous or regulated goods, misconduct, and content contrary to public order or morals are prohibited.
Offers, negotiations, deliverables, delivery periods, acceptance, cancellation, and disputes are handled according to procedures designated by us. We may provide offer acceptance, decline, withdrawal, contract management, acceptance review, and dispute-support functions to assist safe transactions between users.
Article 8. Payments, deposits, PayPal collection, and settlement
For requests involving deposits, the deposit-management entity is SAKURA EXCHANGE GUAM, INC. Deposits are limited to KYC-verified users and are generally denominated in USD. SGP-USD may be handled within the Service at 1 SGP-USD = 1 USD.
When PayPal collection is used, PayPal’s terms, fees, reviews, chargebacks, refund conditions, account restrictions, and other PayPal requirements apply. Funds collected via PayPal are managed by SAKURA EXCHANGE GUAM, INC. for case progress, acceptance, cancellation, disputes, refunds, and settlement to service providers.
If a user holds an SGP-USD balance, we may allow deposits from the wallet balance within permitted limits. Such SGP-USD may be held or transferred to a company-managed wallet until completion, cancellation, refund, or dispute resolution.
Refunds may be reduced by PayPal or other payment-service fees, chargeback costs, exchange or processing costs, and administrative fees designated by us. Where permitted, refund-equivalent amounts may be allocated as SGP-USD to the user’s balance and used for card functions or other functions within the Service. SGP-USD is not intended for cash-out, remittance, or speculation.
Article 9. SGP Points / SGP-USD
SGP Points and SGP-USD are not bank deposits and are not covered by FDIC or MAS protection. They are not intended for remittance, cash-out, speculation, asset management, or use as financial products.
Unless otherwise stated in applicable terms or displays, SGP Points expire 180 days from issuance. We may grant, use, expire, adjust, or cancel SGP Points or SGP-USD to address fraud, incorrect granting, system errors, terms violations, laws, or partner requirements.
Article 10. Prohibited conduct
- False information, fraudulent activity, impersonation, or spam.
- Infringement of copyright, trademarks, portrait rights, privacy, or other third-party rights.
- Illegal, dangerous, discriminatory, violent, sexual, or offensive content.
- Use of the Service in a way that constitutes remittance, cash-out, money movement, speculation, or financial-product sales.
- Interference with our systems, reputation, operations, or other users.
- Any other conduct we deem inappropriate.
Article 11. Content rights
Rights to user-posted content generally remain with the user. However, users grant us permission to use such content as necessary for service display, operation, improvement, announcements, search, sharing, and fraud prevention.
Article 12. Removal, suspension, and restrictions
When we deem it necessary for terms violations, legal violations, rights infringement, KYC/AML concerns, partner requests, dispute prevention, or service operation, we may restrict, suspend, or remove posts, profiles, listings, requests, offers, balance functions, deposit functions, settlement functions, or account functions in whole or in part.
Article 13. Disclaimers
Except in cases of our intentional misconduct or gross negligence, we are not liable for damages arising from transactions between users, posted content, external SNS connections, external payment services, third-party services, partner review, or country-specific availability. Transactions between users are conducted at the responsibility of the parties involved.
The Service is not provided as a bank, deposit-taking institution, securities firm, investment product, remittance service, cash-out service, or guaranteed deposit service.

Article 15. Changes to these Terms
We may amend these Terms as necessary. Important changes will be announced through the Service or by another appropriate method.
